Reseller Terms

Generac Power Systems, Inc. (“Generac”) is committed to protecting and maintaining its highly regarded brands and reputation for excellence, technology, and innovative energy solutions. Generac has invested in the development and design of products, as well as a customer experience that it believes is expected by the end consumer. Generac believes that certain sales, advertising, and service practices are inconsistent with the investment that Generac has made in providing innovative energy solutions and a leading customer experience. Generac also feels that these practices do not support the investments that its dealers and retailers have made in Generac’s products as well as training and service in various ways. Generac has adopted this Authorized Reseller Policy for North America to positively reflect upon the Generac brand as well as support the continued investment of Generac and its dealers and retailers.
This Generac Brand Authorized Reseller Policy (“Reseller Policy”) applies to all Generac, ecobee, DR Power Equipment, Honeywell, Powermate, Craftsman, and DeWalt branded products manufactured and/or sold by Generac (the “Products”) in North America and supersedes any prior applicable reseller policies of Generac. The Reseller Policy applies to all Authorized Resellers as designated by Generac, and Authorized Resellers shall comply with its terms.
Generac may amend, modify, or revoke this Authorized Reseller Policy at any time in its sole discretion.
1. Becoming an Authorized Reseller. If you are interested in becoming an Authorized Reseller for ecobee brands, you must submit a request to ecobee at retail@ecobee.com. Unless you are approved as an Authorized Reseller, you are not authorized to sell the Products online without Generac’s prior written approval.
2. Sale Only to End Users in Authorized Territories.
Reseller is authorized to sell Products only to End Users in geographic territories as designated by Generac (for example, the United States or Canada). An “End User” is a purchaser of the Products who is the ultimate consumer of the Products and who does not intend to resell the Products to any third party. To maintain Authorized Reseller status, an Authorized Reseller shall not sell, ship, invoice, or promote the Products outside of the region designated by Generac without Generac’s written consent.
3. Permitted Websites.
a. Reseller may market for sale or resale the Products on a website or mobile application that is owned or operated by the Reseller and operated in compliance with this Policy (a “Permitted Website”).
b. Resellers may not sell the Products anonymously. The Permitted Website must clearly identify the Reseller’s full legal name or registered fictious name, mailing address, telephone number, and email address. The Permitted Website must not give the appearance that it is operated by Generac or by a third party.
c. A Reseller may not market for sale or resale the Products on a third-party marketplace website or mobile application (e.g., Amazon, eBay, Walmart, etc.) without the prior written consent of Generac.
4. Sales Practices.
a. Resellers must comply with all applicable Generac sales and marketing policies, including Generac’s MAP policy, a copy of which can be found here: https://ecobee.showpad.com/share/IqjkgKzVmbC88Et2LH5f1
b. Resellers must conduct their business in a reasonable and ethical manner at all times and must not engage in any deceptive, misleading, or unethical practices or advertising at any time.
c. Reseller shall not make any warranties or representations concerning the Products, and may only extend Generac’s original manufacturer’s warranty, in accordance with its terms. Resellers may not modify or alter Generac’s original manufacturer’s warranty, or provide characterizations or representations of it that are misleading in any way.
d. Products must be sold in their original packaging and any alterations to the original packaging are not allowed without Generac’s prior written consent. Resellers may not represent products as “new” if they have been returned opened or have been repackaged in any way.
e. Products must be stored, handled, and transported in accordance with any instructions provided by Generac or provided on the packaging of the Products.
Upon reasonable request by Generac, a Reseller must provide information related to the sale and sell through of the Products, and agree to cooperate with any investigation by Generac regarding this Policy including, but not limited to, permitting inspection of the Reseller’s facility and records related to the sale of the Products.
f. Resellers may not resell or transfer Products to any person or entity that it knows or has reason to know intends to resell the Products online, whether on their own website, or through a third-party marketplace, a mobile application, or other ecommerce channel. Doing so will be considered a violation of this Policy. Determinations about whether a Reseller has violated this provision will be made in Generac’s sole discretion.
4. Generac Brand Names and Intellectual Property.
a. Generac, its affiliates, or its licensors own all proprietary rights in and to the Generac brands, names, logos, trademarks, service marks, trade dress, copyrights, images, and other intellectual property related to the Products (“Generac IP”). Resellers are granted a limited, non-exclusive, non-transferable, revocable license to use the Generac IP solely for purposes of marketing and selling the Products.
b. This license will cease upon termination of Reseller’s status as an Authorized Reseller.
c. A Reseller’s use of Generac IP must be in accordance with Generac’s Brand Guidelines as they may be published from time to time.
d. Generac reserves the right to review and approve, in its sole discretion, a Resellers use or intended use of Generac IP any at time and without limitation.
e. A Reseller may not create, register, or use any domain name or mobile application that contains any Generac product name or any trademark licensed or owned by Generac without Generac’s prior written consent, nor a misspelling or confusingly similar variation of any Generac product name or any trademark licensed or owned by Generac.
5. Support of Manufacturer’s Warranty
a. Reseller may extend to any proper purchaser of the Products the original manufacturer’s warranty in accordance with its terms. Reseller may not modify or alter the original manufacturer's warranty, represent or characterize it in a misleading manner, or extend a different or separate warranty. Failure to comply with this Policy will result in total forfeiture of Reseller’s right to offer the original manufacturer’s warranty to the purchaser.
b. The original manufacturer’s warranty for the Products does not extend to Products obtained and sold by unauthorized resellers.
6. Loss of Authorized Reseller Status
a. A Reseller who violates this Policy will be subject to enforcement actions at Generac’s sole discretion including but not limited to suspension of promotional funding, shipments, or authorized seller status or termination of authorized seller status.
b. If your Authorized Reseller’s status is revoked or terminated, you must immediately stop: (i) selling the Products; (ii) using any Generac IP; and (iii) operating in a manner that gives the appearance that you are an Authorized Reseller or have any affiliation with Generac.
7. Policy Scope Exclusions
This Policy does not apply to resellers and sales of Products through:
a. utility or electric cooperative customer marketplaces that are not generally available to the public.
b. over-the-counter sales to professional contractors and installers.
