Generac Minimum Advertised Price Policy

Effective: August 1, 2025

1. Purpose and Applicability
Generac Power Systems, Inc. (“Generac”) actively supports the advertising and promotion of its products by its channel partners. To maintain the integrity of the Generac brand, Generac has adopted this unilateral Minimum Advertised Price Policy (“Policy”). This Policy is applicable to all Generac resellers, distributors, dealers, and other entities in the United States and Canada engaging in the advertising or resale of the Products to end users (collectively, “Resellers”) and states the advertised pricing and the promotional schedule for all Generac, Honeywell, Powermate, Craftsman, ecobee, DR Power Equipment and DeWalt products (“Covered Product(s)”) via the MAP Schedule (“Schedule”). The Policy does not apply to products clearly listed or marked as “refurbished.” Generac has adopted this Policy to protect and promote the integrity of our brands, support our Resellers’ investments in our brand and products, encourage Resellers to provide the best possible service to end users, and help address advertising practices that undermine our reputation, goodwill, and premium image with our target end user retail population. This Policy supersedes any previously published minimum advertised price policy or program.

2. Minimum Advertised Price
The “minimum advertised price” (“MAP”) is the lowest price at which the Covered Product may be advertised. Generac is solely responsible for (1) establishing the MAP for each Covered Product and (2) communicating the Policy to all Resellers (including via directing any distributors to pass down the Policy to their reseller customers). While Resellers remain free to advertise and sell all of our products (including the Covered Products) at any price, it is a violation of this Policy for a Reseller to advertise any Covered Product at a price lower than the MAP unless otherwise set forth herein.

3. Policy Scope
This Policy applies to advertising of Covered Products in both the United States (excluding Puerto Rico) and Canada.

4. Advertising and Advertisements
The terms “advertising” and “advertisement” include all promotional or pricing information related to Covered Products displayed in any type of media, including, but not limited to:
• newspapers
• catalogs
• magazines
• flyers
• brochures
• other direct mail
• television
• radio ads
• billboards
• outdoor signage
• coupons
• websites
• blogs
• social media
• affiliate marketing networks/comparison shopping engines
• seller-initiated text messages or emails to customers or prospective customers
• webpages in the pre-checkout stage for online transactions
• mobile/smart phone applications
• banner ads
• online product ads
• paid search ads
• pay-per-click ads
• display ads
• mobile ads
• product listing ads
• links to other websites
• sponsored links
• ads in any other media in a digital format that is conveyed via the Internet
• any other marketing or promotional materials, whether displayed online, through broadcast, or other media

The terms “advertising” and “advertisement” do not include:
A. Signage and other pricing information displayed within a physical selling location.
B. Pricing information displayed at the Final Online Checkout Stage (which is generally the final stage of the online transaction when the Covered Product is put into an online shopping cart that contains the customer’s name, shipping address, email address, and payment information). Please note that pricing information in the Final Online Checkout Stage must be obscured technically so that it is not retrievable by shopping and pricing engines and not displayed on search page results within the Seller’s own website.

  1. Advertised pricing displayed at the pre-checkout stages (i.e. the webpage(s) prior to the Final Online Checkout Stage) does constitute advertising under this Policy.

C. Advertising or pricing information displayed on utility or electric cooperative customer marketplaces that are not generally available to the public.

5. Policy Violations
Examples of advertisements that violate this Policy include, but are not limited to:
A. Displaying the advertised price of the Covered Product below the MAP.
B. Offering coupons, discounts, rebates, or other inducements that, when applied, result in an advertised price lower than the MAP, including through use of a storewide sale, category-wide sale, website-wide sale, promotional code, discount, or other similar provision that can be applied to the Covered Products. However, see subsection (L) below for a way in which to conduct a permissible promotion.
C. Bundling Covered Products with other products or services (whether made by or provided by Generac or another entity) in a manner that implies below-MAP pricing for the bundled Covered Product(s).
D. Strikeouts or strikethroughs of advertised pricing information.
E. Permitting any third-party to alter the advertised price for any Covered Product.
F. Direct or indirect attempts to circumvent this Policy.

6. Permitted Promotions It is not a violation to advertise the following, notwithstanding the prior advertisements that constitute violations in Section 5:
A. Customer-Initiated Solicitations for Price: That an end user may "call for price," "text for price," or "email for price," as long as no price is listed and no automated call, text message, or "bounce-back" email is used in response.

B. Free/Reduced Price Shipping: A free or reduced-price shipping advertisement as long as such offer applies to all or almost all other products offered by the Reseller in the same product category.

C. In-Cart Advertisements: "See price in cart" or other statements that suggest a lower price for a Covered Product may be found at the Final Online Checkout Stage provided that the amount of the discount is not displayed should its application result in an advertised price below MAP.

D. Universal Store Credit Card Promotions: A store program or offer that applies to all or substantially all products offered by Reseller and is accessible only with use of a Reseller's store credit card, provided the discount or promotion does not calculate the application of the discount or promotion to the advertised price of the Covered Product should its application result in an advertised price below MAP.

E. Direct-Mail / Subscription-Based Advertisements / Digital Coupons: Offering coupons, discounts, rebates, promo codes, a coupon “clip,” or other inducements that can be applied to the Covered Products through an email, a personalized physical mailing, a text message, or a like communication when specifically sent to end users who have opted in, or have otherwise signed up, to receive such emails, physical mailings, text messages, or like communications so long as the coupon, discount, rebate, promo code, or other inducement (i) does not calculate the application of the discount to the advertised price of the Covered Product should its application result in an advertised price below MAP, (ii) is for a set period of time (e.g., hurricane season, 60 days); and (iii) does not result in an advertised price of more than eleven percent (11%) below the Covered Product's MAP.

F. Store-Wide/Site-Wide Promotions or Discounts: Coupons or promotions which result in a Covered Product being advertised at a price lower than the MAP, provided the coupon or promotion (i) applies to all products offered by Reseller or all products offered by Reseller in the same category as the Covered Products (e.g. 10% off all items purchased that day); (ii) does not specifically refer to Generac, its brands, or the Covered Products; and (iii) does not result in an advertised price of more than eleven percent (11%) below the Covered Product's MAP; (iv) the advertisement does not calculate the application of the promotion or coupon to the advertised price for the Covered Product should its application result in an advertised price below MAP; and (5) the promotion cannot be combined with any other Generac or Reseller promotional offers.
G. Loyalty Points: The accrual and application of "points" or other things of value ("Loyalty Points") to the Covered Product that results in a discount below the MAP, provided that (1) Loyalty Points can be applied to all or almost all of the products offered by a Reseller to obtain the discount; and (2) the rate of accruing Loyalty Points for purchasing the Covered Products is no more than the rate applicable to all or almost all other brands of products offered by the Reseller.

H. Generac Corporate Exclusions / Manufacturer's Coupon: The advertisement of the availability of a manufacturer's rebate or coupon that can be applied to the Covered Product, provided that (i) the terms related to the application of the manufacturer's coupon or rebate clearly indicate it is a manufacturer coupon and is generally in the same font, style, and size used to advertise the prices of other products, and (ii) the advertisement does not calculate the application of the manufacturer's rebate or coupon to the advertised price for the Covered Product should its application result in an advertised price below MAP. The manufacturer’s coupon may state the amount of the manufacturer's rebate or coupon so long as its application to the Covered Product’s advertised price is not performed should its application result in an advertised price below MAP.

  1. This Policy Is Not an Agreement and Is Non-Negotiable

This Policy is not an agreement between Generac and any other entity. Generac does not seek and will not accept any promise of compliance with this Policy from any Reseller or other party, and each Reseller must independently choose whether to comply with this Policy. This Policy is not negotiable and will not be altered for any individual Seller.

  1. Promotional MAPs / MAP Holidays

Generac may announce MAP holidays or other promotional periods where the MAP is changed for a defined period. When announcing Promotional MAPs to Resellers, Generac will provide: (1) the beginning and ending dates of the Promotional MAP period; (2) the Promotional MAP that the Covered Product can be advertised at without it constituting a violation of this Policy, and (3) specific participating Covered Products.

  1. Noncompliance
Generac will enforce the policy as follows: Enforcement Action
Violation 1 - Written notification sent to the Reseller
- If the violation continues for 24 hours or more after the written notification is sent, it will be considered a second violation
Violation 2 - Written notification sent to the Reseller
- Generac promotional funding / marketing support will be reduced for the Generac products in violation for 30 days
- If the violation continues for 24 hours or more after the written notification is sent, it will be considered a third violation
Violation 3 - Written notification sent to the Reseller
- Generac promotional funding / marketing support will be reduced for the Generac products in violation for 90 days
- Removal of MAP discounts on future orders.

10. Policy Administration
Generac may update, revise, suspend, or otherwise modify this Policy at any time in our discretion, and any modifications will be made available to all Resellers. Our employees or agents cannot modify, interpret, or grant any exceptions to this Policy; cannot solicit or obtain the agreement of any person or entity to comply with this Policy; and cannot otherwise discuss any aspect of this Policy with any Reseller, including any Reseller’s compliance with the terms. Any questions about this Policy should be sent in writing to our MAP Policy Administrator at map@generac.com. Generac will not accept any other form of communication from Resellers regarding this Policy.
