4. Information about Certain Services and Program Offerings.
a)Community Energy Savings Program Participation
-
Automatic Enrollment and Choice. If you activate eco+, you will automatically be enrolled in demand response programs and events initiated by Program Administrators relating to grid stabilization or demand management (“Default Community Energy Savings Programs”). These programs reduce energy consumption and load on the grid, reducing costs and the risks of brownouts and blackouts. You can opt out of participation in any and all Default Community Energy Savings Programs and their events at any time by deactivating the Default Community Energy Savings Program in the App, by contacting Customer Service at 1-877-932-6233, or by indefinitely deactivating eco+ within the App in the eco+ menu.
-
Eligibility and Enrollment Terms. You may be eligible to participate in additional demand response programs offered by Program Administrators, which may require you to accept additional Terms of Service and may offer you incentives for enrolling and participating in the program (“Additional Community Energy Savings Programs,” and together with Default Community Energy Savings Programs, “Community Energy Savings Programs”). In such cases, eco+ will seek to notify you of these third-party Terms of Service and allow you to opt into such Additional Community Energy Savings Programs. If you enroll into an Additional Community Energy Savings Program, you may receive notice of Additional Community Energy Savings Program events which will appear on your Purchased Product and applicable Company App. Note that if you opt in and enroll in an Additional Community Energy Savings Program, you will automatically be unenrolled from any Default Community Energy Savings Program. You can opt out of any in progress Additional Community Energy Savings Program event at any time, notwithstanding any clauses to the contrary set forth in your Utility’s Terms of Service, by deactivating the Additional Community Energy Savings Program in the ecobee App and submitting a request to the Program Administrator to unenroll.
-
Company does not determine customer eligibility for Community Energy Savings Programs. Those determinations are made solely by Program Administrators and are outside of Company’s control.

-
Energy Savings for Grid or Program Administrator Benefit. Company may manage and control Licensee’s affected Purchased Product(s) to provide additional energy savings when doing so provides value to Program Administrators or the electricity grid, including during periods of high electricity demand.
-
Sharing of Personal Information with Program Administrators. Licensee authorizes and direct Company to share Licensee’s personal data with Program Administrators to the extent necessary to provide eco+ and to facilitate the Community Energy Savings Programs for which Licensee requested.
-
Program Administrator Requests and Overrides. Program Administrators may issue requests to reduce Licensee’s energy consumption during Community Energy Savings Program events, including during peak electricity price periods. During these events, ecobee may change Licensee’s temperature set point (for Default Community Energy Savings Programs) or turn off Licensee’s affected Purchased Product(s) (for Additional Community Energy Savings Programs). You may always override Company’s control and manually control Licensee's affected Purchased Product(s).
-

Participation in any Additional Program is optional and may require Licensee to accept additional terms. Company will communicate program details, including how to participate or opt out. Company is not responsible for any failure by a Program Administrator to provide incentives to Licensee.
-
Consideration to Company; Environmental Attributes. Company may receive consideration from Program Administrators for successfully enrolling you in their Community Energy Savings Programs. Provided there is no conflict with incentives offered to Licensee under this Section 4, Company may claim any qualifying environmental attributes, benefits, credits, awards, or bounties from Program Administrators resulting from energy savings achieved through eco+, which forfeits any option Licensee might have to enroll in the programs directly or rights to environmental attributes, benefits, credits, awards, or bounties related to eco+. For illustrative purposes only, Community Energy Savings Programs may include utility-sponsored, grid services, demand response, energy efficiency, load management, and similar energy-management programs administered by Program Administrators. Program offerings, eligibility requirements, incentives, and participating entities may change over time.
-
Communications from Company. Company may communicate with Licensee via email or other channels regarding the affected Purchased Product(s), Services, App, and, as applicable, Remote Applications. By registering Licensee’s device and providing an email address, Licensee agrees that Company may send Licensee’s HVAC alerts and reminders, software update notices, energy savings advice, news about the Services, customer feedback requests or surveys, and marketing materials relating to Company and third‑party offerings. These communications may be sent by email, via the Site or App, or through other suitable means. Licensee may unsubscribe from these communications at any time.
-
Performance Disclaimer—eco+. Without limiting the disclaimers in Section 12 below (“No Warranty; Disclaimers”), Company makes no representations, warranties, or guarantees regarding any results or performance of eco+, including whether eco+ will achieve any energy savings or benefits. In rare circumstances, eco+ may result in increased costs.
c)Subscription Services.
-

If Licensee decides to cancel, Licensee can do so by going into the subscription section of the App. Licensee will be charged until the end of that term; Company does not offer pro-rated credits.

-
To the extent Licensee purchases, activates, accesses, or uses any Smart Security subscription feature, Licensee agrees to comply with the applicable Smart Security Terms of Service.
-
If a conflict exists between the EULA and the Smart Security Terms of Service regarding subscription-related matters, billing, monitoring services, subscription benefits, subscription eligibility, subscription duration, cancellation, renewal, or other Smart Security subscription terms, the Smart Security Terms of Service shall control solely with respect to those subscription-related matters. f)Licensee shall obtain and maintain all required licenses, authorizations, or approvals prior to exporting, re-exporting, transferring, or making available the Software, Platform, App, or Data across jurisdictions.
20. Term, Suspension, and Termination
a)Term. These Terms and the license granted hereunder shall take effect on the date Licensee first accepts these Terms or accesses or uses the Software or App and shall remain in effect for the period, if any, set forth in the applicable Order Form. Where no Order Form specifies a term, these Terms shall remain in effect (a) for subscription-based Services, for so long as Licensee maintains an active subscription to the applicable Service; and (b) for all other Services, until Licensee ceases to be a customer, in each case unless earlier terminated as provided in these Terms.
b)Terminated.
- Licensee may terminate this Agreement by ceasing to use the Software and destroying all copies of the Documentation.
- Licensee may terminate these Terms through the Platform or by Contact Us below.
- Company may terminate this Agreement in the event it does not receive payment from Licensee or Reseller for the Software or for material breach or legitimate business reasons, subject to applicable law and reasonable notice.
- Company may terminate this Agreement, effective upon written notice to Licensee, if Licensee breaches this Agreement and such breach: (y) is incapable of cure; or (z) being capable of cure, remains uncured ten (10) days after Company provides written notice thereof.
- Company may terminate this Agreement, effective immediately, if Licensee files, or has filed against it, a petition for voluntary or involuntary bankruptcy or pursuant to any other insolvency law, makes or seeks to make a general assignment for the benefit of its creditors or applies for, or consents to, the appointment of a trustee, receiver, or custodian for a substantial part of its property.
Upon termination or expiration of these Terms, Licensee shall cease all use of the Platform, Software, or Data to obtain or access Services and/or Data, and cease using any Platform associated with them upon termination of these Terms.
c)Account Suspension/Termination. Subject to applicable law and reasonable notice where required, Company may suspend or terminate Licensee’s accounts or cease providing Licensee with all or part of the Platform at any time for any reason or no reason, including, but not limited to, if it reasonably believes: (a) Licensee has violated these Terms; (b) Licensee creates risk or possible legal exposure for Company; (c) Licensee has failed to maintain Licensee’s account in good standing; or (d) provision of the Platform to Licensee is no longer commercially viable. Company will make reasonable efforts to notify Licensee through the Platform or the email address associated with Licensee’s account the next time Licensee attempt to access Licensee’s account. In all such cases, these Terms shall terminate, including, without limitation, Licensee’s license to use the Platform, Software, or Data except those sections Licensee would expect to survive termination. Nothing in this Section shall affect Company’s rights to change, limit or cease the provision of the Platform, Software, or Data at any time without prior notice.
d)No Refunds. EXCEPT WHERE REQUIRED BY APPLICABLE LAW, PAYMENTS ARE NONREFUNDABLE AND THERE ARE NO REFUNDS OR CREDITS FOR PARTIALLY USED PERIODS. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all Company members ("credits"). The amount and form of such credits, and the decision to provide them, are at Company’s sole and absolute discretion. The provision of credits in one instance does not entitle Licensee to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance.
21. Miscellaneous
a)Waiver and Severability. The failure of Company to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
b)Force Majeure. In no event shall Licensee or Company be liable to each other, or be deemed to have breached these Terms, for any failure or delay in performing its obligations under this Agreement, if and to the extent such failure or delay is caused by any circumstances beyond such party’s reasonable control, including but not limited to: (i) acts of God; (ii) flood, fire, earthquake, or explosion; (iii) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (iv) government order, law, or actions; (v) embargoes or blockades in effect on or after the date of these Terms; (vi) national or regional emergency; (vii) strikes, labor stoppages or slowdowns, or other industrial disturbances; or (viii) shortage of adequate power or transportation facilities.
c)Interpretation and Construction. Headings are inserted for convenience of reference only and will not affect the construction or interpretation of the Agreement. For purposes of this Agreement, (a) the words “include,” “includes,” and “including” shall be deemed to be followed by the words “without limitation”; (b) the word “or” is not exclusive; and (c) the words “herein,” “hereof,” “hereby,” “hereto,” and “hereunder” refer to this Agreement as a whole. Unless the context otherwise requires, references herein: (x) to Sections, Annexes, Schedules, and Exhibits refer to the Sections of, and Annexes, Schedules, and Exhibits attached to, this Agreement; (y) to an agreement, instrument, or other document means such agreement, instrument, or other document as amended, supplemented, and modified from time to time to the extent permitted by the provisions thereof; and (z) to a statute means such statute as amended from time to time and includes any successor legislation thereto and any regulations promulgated thereunder. This Agreement shall be construed without regard to any presumption or rule requiring construction or interpretation against the party drafting an instrument or causing any instrument to be drafted. The Order Form and all Annexes, Schedules, and Exhibits referred to herein shall be construed with, and as an integral part of, this Agreement to the same extent as if they were set forth verbatim herein.
d)English Language. The parties declare that they have required that this agreement and all documents related hereto, either present or future, be drawn up in the English language only.
e)Assignment and Transfer Restrictions. Licensee may not assign, transfer, delegate, or otherwise dispose of any rights or obligations under this Agreement—whether voluntarily, involuntarily, by operation of law, or otherwise—without Company’s prior written consent, which Company may grant or withhold in its sole discretion. For purposes of the preceding sentence, and without limiting its generality, any merger, consolidation, or reorganization involving Licensee (regardless of whether Licensee is a surviving or disappearing entity) will be deemed to be a transfer of rights, obligations, or performance under this Agreement for which Company’s prior written consent is required. No delegation or other transfer will relieve Licensee of any of its obligations or performance under this Agreement. Any purported assignment, delegation, or transfer in violation of this Section is void. Company may freely assign or otherwise transfer all or any of its rights, or delegate or otherwise transfer all or any of its obligations or performance, under this Agreement without Licensee’s consent. This Agreement is binding upon and inures to the benefit of the parties hereto and their respective permitted successors and assigns.
f)Third-Party Rights. This Agreement is solely for the benefit of the parties hereto and their respective permitted successors and assigns and nothing herein, express or implied, is intended to or shall confer on any other Person any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.
g)Notices and Communications. All notices, requests, consents, claims, demands, waivers, and other communications must be in writing and a notice will be deemed given: (i) when delivered by hand, with written confirmation of receipt; (ii) when received by the recipient if sent by certified or registered mail, return receipt requested; (iii) on the third day after the date mailed, by certified or registered mail, return receipt requested, postage prepaid; or (iv) delivered via email. Notices must be sent to the contact details specified in the applicable Order Form, account registration, or other written designation, unless a party updates its contact information by providing Notice in accordance with this section. Licensee is responsible for keeping its contact information (including email address) accurate and up to date. Company is not responsible for any delay or failure in delivery resulting from outdated or incorrect contact information.
h)Applicable Law, Venue and Jurisdiction.
- For Generac Power Systems Products: These Terms and any action related thereto will be governed by the laws of the state of Wisconsin without regard to or application of its conflict of law provisions or Licensee’s state or country of residence. All claims, legal proceedings, or litigation arising in connection with the Platform will be brought solely in the federal or state courts located in Milwaukee County, Wisconsin, United States, and Licensee consents to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum. Licensee agrees that Licensee may only bring claims against Company related to Licensee’s use of the Platform on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding.
- For ecobee Products: This Agreement shall be governed and construed in all respects by the laws of the Province of Ontario, Canada and the federal laws of Canada applicable therein, without regard to conflict of laws principles. The exclusive venue for all disputes under this Agreement shall be heard in Toronto, Ontario, Canada. The United Nations Convention on Contracts for the International Sale of Goods, as amended, replaced or re-enacted from time to time, shall not apply to this Agreement. This choice of jurisdiction does not prevent ecobee from seeking injunctive relief with respect to a violation of intellectual property rights or confidentiality obligations in any appropriate jurisdiction.
i)Enforceability. If any term or provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
j)Amendments. The most current version of these Terms and any applicable Terms of Service, Terms of Use, Terms of Sale, or other Additional Terms will be made available through the applicable App, Platform, Site, Documentation, or other location designated by Company. The most current version of the applicable Privacy Notice will likewise be available through the applicable App, Platform, Site, or Privacy Notice identified in these Terms. Company may revise these Terms, the applicable Terms of Service, Additional Terms, or Privacy Notice from time to time. If any revision is material, Company may provide notice through the email address associated with Licensee's account, through the App, Platform, Site, or by another method permitted by applicable law. If Licensee does not agree to the revised Terms, Additional Terms, EULA, or Privacy Notice, Licensee must discontinue accessing and using the Software, App, Platform, and Services. Licensee's continued access to or use of the Software, App, Platform, or Services after the effective date of any revision constitutes acceptance of, and agreement to be bound by, the revised Terms, EULA, applicable Terms of Service, Additional Terms, and Privacy Notice.
k)Waiver. No waiver by any party of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the party so waiving. Except as otherwise set forth in this Agreement, no failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this Agreement shall operate or be construed as a waiver thereof; nor shall any single or partial exercise of any right, remedy, power, or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
l)Entire Agreement. Except as expressly set forth in this Agreement, these Terms, the applicable Company Privacy Notice, Additional Terms (together with all Order Forms, Annexes, Schedules, and Exhibits attached hereto and all other documents that are incorporated by reference herein, constitute the entire and exclusive agreement) between Company and Licensee regarding the Platform (excluding any service for which Licensee has a separate agreement with Company that is explicitly in addition or in place of these Terms), and these Terms shall supersede and replace any prior agreements between Company and Licensee regarding the Platform, but for the applicable Additional Terms that shall be read in conjunction with these Terms. To the extent there is any conflict between these Terms and the Additional Terms, these Terms shall prevail. Licensee hereby agrees that the Company has not made any inducements, commitments, conditions, representations or warranties of any kind to Licensee whether direct, indirect collateral, express or implied, oral or written other than what has been set forth in these Terms.
